These Terms of Service govern the relationship between you and ADOPOTATO LLC when you visit our website, request a demonstration, use a client portal or rely on any platform or service we provide. By accessing our website or using our services, you agree to be bound by these terms. If you do not agree, please do not use the website or the services. Where a signed agreement exists between your organisation and ADOPOTATO LLC, that agreement controls if it conflicts with these terms.
ADOPOTATO LLC operates from 248 E Hubbard Ave, Salt Lake City - 84111-4616, United States (US). You can reach us at hello@adopotato.buzz or by telephone at +16814621367.
We ask that you read these terms alongside our Privacy Policy, which explains how we handle information. The two documents are meant to be read together: this one sets out the rules of the commercial relationship, while the Privacy Policy sets out the commitments we make about data. If a question touches both documents, the stricter protection of your information will always guide our behaviour.
In these terms, we use the following words with the meanings given here. The words we, us and our refer to ADOPOTATO LLC. The words you and your refer to the person or the organisation that accesses the website or uses the services. Website means the public pages published at our domain. Platform means any hosted system we operate, including a certification platform, a dashboard, a traceability system or an agronomy portal. Service means any build, integration, hosting, training or support activity we perform. Client means an organisation that has engaged us under a written agreement. Content means text, data, images, records and other material made available through the website or a platform. Operational record means a lot identity, an inspection result, a grade sheet, a treatment entry, a transfer event or a sensor reading stored in a platform.
A reference to writing includes an email, a shared document and a signed electronic record, provided the sender and the content can be verified. A reference to a day means a calendar day unless the context describes a working day. A heading is provided for convenience and does not limit the meaning of a clause.
Our website and services are intended for professional and commercial use by agricultural businesses and their staff. By using the services, you confirm that you are at least sixteen years of age and that you hold the authority to bind the organisation you represent. If you act on behalf of an organisation, you accept these terms for that organisation as well as for yourself. We reserve the right to decline service to any person or organisation at our discretion and to suspend an account that we reasonably believe is misused.
You also confirm that you are not subject to a sanction that would prohibit us from dealing with you under the law that applies to our business. If your authority to act changes, or if the person who accepted these terms leaves your organisation, the agreement continues for the organisation, and the organisation remains responsible for the account.
ADOPOTATO LLC provides computer integrated systems design services for the seed potato trade. These services include the design and delivery of seed lot certification data platforms, cold storage sensor network integration, grading line automation software, field trial data dashboards, traceability and audit reporting systems and agronomy portal development. We also provide related services such as site surveys, interface documentation, user training and ongoing support.
We describe the general shape of our services on our website, but the specific scope of any engagement is set out in a written statement of work or a signed agreement. That document defines the deliverables, the schedule, the acceptance criteria and the fees that apply to your project. We will not treat a website description as a promise to deliver a feature that is not included in a written scope.
We deliver a build in stages and invite your acceptance at each stage. When you accept a stage, you confirm that the delivered work matches the agreed specification and that any recognised defect has been recorded in a written list. A stage that is not formally accepted but has been used in production for ten working days is treated as accepted so that a project cannot drift indefinitely without a decision.
Where a scope changes during a build, we document the change, estimate the effect on time and cost, and ask for written approval before we proceed. We do not surprise a client with a larger invoice, and we ask the same courtesy in return.
Some services require an account. When we create an account for you, you agree to provide accurate information, to keep that information current and to protect your credentials from misuse. You are responsible for activity that occurs under your credentials. If you believe a credential has been compromised, you must contact us without delay at hello@adopotato.buzz or by telephone at +16814621367 so that we can revoke access and issue a replacement. We will never ask you for your password in an unsolicited message, and you should treat any such request as fraudulent.
You agree to remove access for a staff member who leaves your organisation or who no longer needs the system for their work. We will assist with a bulk review of accounts at your request. We may suspend an account that we believe is compromised or that is being used against the interests of the platform, and we will restore it once the concern is resolved.
You agree to provide the information, access and cooperation that a project requires. This includes naming a decision maker, providing timely feedback, making test equipment available and ensuring that the data you supply is accurate to the best of your knowledge. Where you connect a third party system to our platform, you confirm that you hold the right to share the data involved and that the connection does not breach a duty you owe to another party.
You are responsible for the acts of your staff and contractors who use a platform. You agree to train them on the proper use of the system and to tell us promptly if a user should no longer hold access.
You also agree to keep your own backups of any data that is critical to your business, even where we provide a backup service, because a shared responsibility is the safest arrangement. We will tell you in the documentation how to export your records so that your ability to preserve them does not depend on us.
You agree not to misuse the website or the services. In particular, you agree not to attempt to gain unauthorised access to any system, not to interfere with the security or performance of a platform, not to introduce malicious code, not to scrape or harvest data in a manner that burdens our infrastructure, not to reverse engineer a hosted platform, and not to use the services for an unlawful purpose or in a way that harms another person.
You also agree not to misrepresent the certified status of a seed lot, not to alter a record in a way that deceives an inspector or a buyer and not to use our systems to create a false document. Integrity of the record is central to our mission, and we reserve the right to suspend an account that violates this section.
We may monitor usage patterns to protect the platform and our other clients, and we may investigate an activity that appears to breach this section. If an investigation confirms a breach, we may suspend or terminate access and, where the law requires, report the matter to the appropriate authority.
You retain ownership of the data and the operational records that your organisation provides to or generates within a platform. We do not claim ownership of your lot records, your sensor readings or your trial results. You grant us a limited licence to host, process, transmit and back up that data for the sole purpose of delivering the services you have engaged.
We own the software, the interfaces, the documentation and the aggregated insights that we develop independently of your data. Where a client agrees to a custom build, the allocation of rights in the custom components is set out in the written agreement. On termination, we will return or make available your data in a standard export format and then delete it in line with the retention schedule agreed with you.
We never use your operational records to train a model that is offered to another client. Where we improve a platform through learning, we use de-identified and aggregated signals that cannot be traced to your lot, your field or your staff. This is a boundary we hold firmly, because a grower must be able to trust that a platform built for the whole trade still keeps one farm records private from another.
All intellectual property in the website and in our hosted platforms, including source code, architecture, design, documentation and trade marks, belongs to ADOPOTATO LLC or its licensors. These terms grant you a limited, non exclusive and non transferable right to use the services for your internal business purposes during the term of your engagement. You may not copy, modify, distribute, sublicense or create a derivative work from our platform except as expressly permitted in writing.
You may not remove or obscure a proprietary notice from any part of the services. If you provide feedback or a suggestion, you grant us the right to use it without restriction or obligation, while your confidential information remains protected by the confidentiality section below.
We grant you a licence to use the documentation we provide for your internal training and reference. You may quote a reasonable portion of a public page with an attribution to ADOPOTATO LLC, but you may not present our material in a way that suggests an endorsement you do not hold.
Fees for a build, an integration, a subscription or a support plan are stated in the applicable agreement. Unless the agreement says otherwise, invoices are payable within thirty days of the invoice date, and late amounts may accrue interest at the rate stated in the agreement. You are responsible for any tax that applies to a transaction, other than a tax on our net income.
We may suspend a service if an undisputed invoice remains unpaid after a written reminder. We will not suspend a certification platform in a manner that would corrupt an operational record; instead we will provide a documented export so that your records remain intact. Fees for a completed stage are not refundable except where these terms or the agreement provide otherwise.
Where a subscription continues after an initial term, we will give at least thirty days written notice before a price change takes effect. A travel and expenses cost, if any, is agreed in advance and invoiced at cost with supporting receipts.
Our services may interoperate with hardware and software supplied by another vendor, such as a store controller, a grader or a freight system. We do not control those components and we are not responsible for their performance, their availability or their security. Where we integrate a third party component, we do so on the basis of the interface that the vendor exposes, and a change to that interface may require additional work. Any third party component may be subject to its own licence terms, which apply alongside these terms when you use that component.
If a vendor withdraws an interface or changes a licence in a way that blocks an integration, we will tell you promptly and will propose a workable alternative. We are not liable for a delay caused by a vendor change, but we will apply reasonable effort to restore the integration or to migrate you to another path.
Each party may receive information that the other treats as confidential. Confidential information includes business plans, pricing, procedure documents, security details, operational records and any material marked as confidential or that a reasonable person would understand to be confidential given the circumstances. The receiving party agrees to use confidential information only to perform the engagement, to protect it with reasonable care and not to disclose it to a third party without the consent of the disclosing party, except where the law requires disclosure. On request, the receiving party will return or destroy confidential information once the engagement ends.
A party that must disclose confidential information under a legal order will, where the law allows, give the other party prompt notice so that a protective step can be considered. These obligations continue for three years after the engagement ends, and they continue for as long as the law protects a trade secret.
We warrant that we will perform our services in a professional and workmanlike manner using personnel with suitable skill and experience. We further warrant that a delivered platform will substantially conform to the written specification for a period of thirty days after acceptance, and we will correct a material non conformity at no additional charge during that period.
Except for the warranties stated in this section, the website and the services are provided as available, and we disclaim all other warranties to the fullest extent the law allows. We do not warrant that a service will be uninterrupted, that it will be free of every error or that a third party component will meet your expectation. We do not warrant an agricultural outcome, because growing conditions, storage practice and market factors lie beyond our control.
We do warrant that we will correct a reproducible defect that we cause, and we will give a workaround where a rapid fix is not possible. Our support plan sets out the response times we target and the channels you may use to raise a concern. Where a defect prevents you from recording a certification event during a critical window, we will treat the matter as urgent and will prioritise it ahead of routine work.
To the fullest extent the law allows, neither party will be liable for an indirect, incidental, special, consequential or punitive loss, or for a loss of profit, revenue, crop value or goodwill, even if the party was advised that such a loss was possible. Our total liability arising from or relating to the services will not exceed the total fees you paid to us in the twelve months that precede the event giving rise to the claim.
This limitation does not apply to a breach of confidentiality, to an infringement of intellectual property, to a payment obligation or to any liability that the law does not permit a party to limit. The parties agree that these limits reflect a reasonable allocation of risk for the type of engagement covered by these terms.
We maintain insurance appropriate to a technology studio of our size, including general liability and professional indemnity cover, and we can provide evidence of cover on request. The existence of insurance does not increase the limits set out in this section.
You agree to indemnify and hold ADOPOTATO LLC harmless from a claim, a loss or an expense that arises from your misuse of the services, from data you supplied without the right to share it, from a breach of these terms or from a violation of the law. We agree to indemnify and hold you harmless from a claim that our platform infringes the intellectual property of a third party, provided that you notify us promptly, allow us to control the defence and cooperate in that defence. Our obligation does not extend to a claim caused by your modification of the platform or by your combination of the platform with a component we did not supply.
The indemnified party will not settle a claim in a way that admits fault on the part of the indemnifying party without written consent, and the indemnifying party may take over the defence with counsel of its choosing.
These terms apply for as long as you use the website or the services. An engagement under a written agreement runs for the term stated in that agreement and renews as the agreement provides. Either party may terminate for a material breach that remains uncured after a written notice period of thirty days. Either party may terminate immediately if the other becomes insolvent or ceases to operate.
On termination, your right to use a hosted platform ends, we will provide a final export of your operational records and we will delete your data in line with the retention schedule. Sections that by their nature should survive termination, including confidentiality, intellectual property, limitation of liability and governing law, will continue to apply.
If you terminate a build before a stage is complete, you remain liable for the work performed up to the date of termination and for any non cancellable cost we have committed on your behalf. If we terminate for convenience, we will complete any stage in progress or refund the portion of the fee that relates to work not yet performed, at your choice.
Neither party will be liable for a failure to perform an obligation caused by an event beyond that party reasonable control. Such an event may include a natural disaster, an extreme weather event, a power failure, a failure of a public network, an act of government, a labour dispute or an epidemic. The affected party will notify the other promptly and will use reasonable effort to resume performance. If the event continues for more than sixty days, either party may terminate the affected part of the engagement without further liability.
An event that affects only one party does not excuse the other from its own obligations, such as a duty of confidentiality or a duty to pay for work already accepted.
These terms are governed by the laws of the State of Utah in the United States, without regard to its conflict of law rules. The parties agree to bring a dispute that cannot be resolved through good faith discussion before the state or federal courts located in Salt Lake City, Utah, and each party consents to the jurisdiction of those courts. Before filing a claim, the parties agree to attempt a resolution through a senior representative of each side for a period of thirty days.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms. If a provision is found to be unenforceable, the remaining provisions continue in force, and the parties will replace the unenforceable provision with a valid one that reflects the original intent.
We may revise these Terms of Service to reflect a change in our services or in the law. When we make a material change, we will update the date at the top of this page and, where appropriate, notify an active client by email. A continued use of the website or the services after an update means that you accept the revised terms. If you do not accept a revised term, you should stop using the affected service and tell us so that we can discuss the engagement.
If you have a question about these Terms of Service, please contact us through any of the channels below. We will reply within one working day.

These terms, together with the Privacy Policy and any signed agreement, form the entire understanding between the parties on the subject matter and replace any earlier discussion or proposal. A waiver of a breach is not a waiver of a later breach, and no variation of these terms is effective unless it is made in writing and accepted by both parties.
